1. SCOPE OF APPLICATION AND CONTRACTUAL LEGAL RELATIONSHIP
The purpose of this document is to set out the legal framework, rules of conduct, conditions of access, browsing policy and general terms and conditions governing the use of the Buenisísimo digital platform, accessible via the main URL https://buenisisimo.com.
These general terms and conditions constitute a binding contract between any natural or legal person who accesses, browses, consults or interacts with the portal’s information services and directories (hereinafter referred to interchangeably as «the User» or «the Users») and the legal owner of the rights to use the trade mark, whose tax identification details are set out in full in the relevant section of our Privacy Policy. Merely accessing the Platform, reading articles on the «Discover Sitges» blog, using the search engines in the «Explore» directory, or voluntarily submitting enquiry forms, implies unconditional acceptance and express, informed agreement to each and every one of the clauses set out herein. If the User does not accept or does not agree with all of these terms, they do not have the technical authorisation to use the website and must leave it immediately.
Buenisísimo reserves the exclusive right to unilaterally amend, update, expand, restrict or remove, at any time and without prior notice or justification, the content of these terms and conditions, as well as the visual appearance, technical structure or services offered on the website. Any amendments shall take immediate legal effect from the moment they are published on the website, and it is the User’s sole responsibility to check the current terms and conditions regularly.
2. CORPORATE PURPOSE, DIGITAL NATURE AND DESCRIPTION OF SERVICES
Buenisísimo is a multi-channel digital and business ecosystem designed as a platform for guidance, local revitalisation and advanced technical consultancy linked to the municipality of Sitges (Barcelona, Spain). The Platform’s activities and services are divided into three key operational areas:
A. Relocation, Management and Technical Advice Portal («Living in Sitges»): It consists of a pre-contractual information and business development channel aimed at individuals or legal entities planning to establish their habitual residence or set up a business in Sitges. This platform explains the basic guidelines on essential immigration procedures and logistics. Users may request assistance with arranging and contracting specialised legal and technical advisory services relating to the processing of official identity documents for foreign nationals, opening bank accounts with Spanish banks, personalised property searches, taking out insurance policies, and the technical management of new connections or changes of account holder with suppliers and distributors of electricity, gas and water.
B. Interactive Local Business Directory («Explore»): It consists of a digital advertising aggregator designed to raise the profile of, promote and connect Sitges’ local business community with residents and tourists. The directory categorises and displays detailed listings of hospitality, leisure and catering establishments (restaurants, cafés, bars), accommodation and shops in general. Users can search for businesses using geographical criteria, thematic categories or keywords, and obtain direct contact details for each establishment.
C. News and Editorial Content Guide («Discover Sitges»): It consists of a digital publication in blog format featuring journalistic articles, lifestyle guides, dining recommendations, calendars of local events, and information of historical or cultural interest about the municipality of Sitges. This platform is purely informative in nature and does not feature any discussion forums or direct public interaction, as comments are closed to the general public.
3. THE «EXPLORE» DIRECTORY POLICY AND ABSOLUTE DISCLAIMER OF LIABILITY
The «Explore» section of Buenisísimo operates solely as a digital noticeboard and a technological showcase for promotion. Buenisísimo provides businesses and the public with a networking platform, but does not intervene in any way in the internal management, quality, contracting or day-to-day operations of the businesses listed. Consequently, the operation of the directory is subject to the following contractual rules:
Accuracy of the information in the fact sheets: The owners, managers or legal representatives of businesses that register their premises on the Platform guarantee, under their own criminal and civil liability, that all the information provided (opening hours, food menus, price lists, table availability, photographs of the premises, contact details and administrative operating licences) is true, accurate, lawful and kept up to date at all times. Buenisísimo does not carry out on-site audits or physical inspections of business premises and therefore accepts no liability for any out-of-date information, typographical errors or images that do not accurately reflect the reality of the establishment.
Absolute Disclaimer of Liability in Respect of Consumer Transactions: Buenisísimo is completely uninvolved in any contractual, commercial, consumer or service-provision relationships that may arise between Users of the website and the businesses listed in the directory. The Platform accepts no liability whatsoever – whether civil, subsidiary, joint and several, criminal or in respect of any guarantee – in relation to any food poisoning, poor customer service, financial fraud, unforeseen additional costs, unilateral cancellations of table or room bookings, breaches of health regulations or any kind of incident occurring on the premises of the advertised businesses or whilst using their services. Any consumer complaint, claim for compensation or legal complaint must be directed directly, exclusively and solely against the natural or legal person who owns the offending commercial establishment.
Power to Moderate and Unilaterally Terminate: Buenisísimo reserves the inalienable right to withdraw, block, temporarily suspend or permanently remove, without prior notice or any financial compensation, the listing of any shop, restaurant or café if it is found, or if substantiated complaints are received, that it infringes consumer protection laws, violates intellectual property rights, lacks valid administrative authorisations, engages in misleading advertising or contravenes the Platform’s code of ethics.
4. SPECIFIC TERMS AND CONDITIONS FOR CONSULTANCY SERVICES («LIVING IN SITGES»)
The voluntary submission of the contact form included in the «Living in Sitges» section or the sending of emails containing technical enquiries by the User to Buenisísimo’s channels does not, under any circumstances, constitute the conclusion of a contract for the provision of services, nor does it oblige our organisation to take any action with public immigration offices or energy companies. Such interaction is strictly regarded as a request for commercial information and a pre-contractual enquiry.
The final contracting and effective commencement of the premium advisory and relocation services will require the mandatory execution of a separate contractual document (referred to, as appropriate, as the Professional Services Agreement or Terms of Reference). In this specific document, accepted by mutual agreement between the parties involved, the following mandatory terms shall be set out with legal precision and in exhaustive detail:
The specific purpose of the task entrusted (number of NIE applications to be processed, supply contracts to be transferred or type of property to be identified).
Professional fees set out clearly and transparently.
The payment terms, completion deadlines and accepted payment methods.
Any additional costs arising from official administrative fees charged by public bodies (the National Police, local councils, Government Delegations) or from commercial security deposits required by energy suppliers shall, in all cases, be borne exclusively by the customer.
Confidentiality clauses and the specific liabilities of each party in the event of administrative delays beyond the adviser’s control.
5. GENERAL OBLIGATIONS AND RULES OF CONDUCT FOR USERS
The User formally undertakes to make legitimate, diligent and ethical use of all the tools, content, directories and search engines integrated into Buenisísimo, in accordance with current legislation. It is strictly prohibited to engage, either directly or indirectly, in the following criminal, abusive or technically harmful conduct:
Introducing or spreading computer viruses, malware, Trojan horses, malicious scripts, destructive code or any type of technology designed to disrupt, destroy, overload or restrict the operation of the web server, the website’s databases or other users’ computers.
Using automated information extraction mechanisms, mass-scanning software, indexing robots or aggressive data scraping techniques (data scraping) for the purpose of copying, storing, compiling, duplicating or marketing the list of businesses in the «Explore» directory or the editorial content of the «Discover Sitges» blog, with a view to incorporating them into competitors’ databases or directories.
Impersonating real profiles, entering false, inaccurate or falsified information on contact forms, or registering restaurant or business profiles in the directory using tax identification numbers (NIF/CIF) belonging to third parties or companies without having the relevant written legal authorisation from their rightful owners.
Using the Platform’s communication channels to send unsolicited commercial communications, bulk advertising (spam), chain messages or promotions for services unrelated to the purpose of Buenisísimo.
6. INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS
All visual, architectural, programming, design and editorial elements that make up the Buenisísimo Platform as a whole are rigorously protected by the national intellectual and industrial property laws of the Kingdom of Spain, as well as by the international treaties signed by the European Union in this field.
The following elements of the website are either the exclusive and direct property of Buenisísimo, or the company holds the exploitation rights, licences or authorisations granted by their creators: source codes in programming languages, CSS style sheets (including all modifications, form layouts and configured spinner alignments), the graphical user interface design, brand logos, trade names, corporate logos, slogans, distinctive colour schemes, the directory’s categorisation structure, internal business databases, original texts written for the informative articles on the «Descubrir Sitges» blog, photographs and videos of the town, and the portal’s legal texts.
The partial or total reproduction, copying, distribution, public communication, making available, adaptation, alteration, translation or commercial exploitation of any of the aforementioned elements is strictly prohibited without the prior, express and formalised written consent of the legitimate administrators of Buenisísimo. Any unauthorised use of the website’s intellectual property shall be deemed a serious infringement of the rights of the owner and shall entitle our organisation to immediately initiate the appropriate civil or criminal proceedings to seek redress for the damage caused and to claim financial compensation for damages.
7. DISCLAIMER OF TECHNICAL LIABILITY AND LIMITATION OF WARRANTIES
Buenisísimo makes every professional effort and employs advanced technological measures to ensure the uninterrupted availability of the website, the proper functioning of its contact forms and the accuracy of the content published. However, due to the nature of the internet infrastructure, the Platform cannot provide absolute guarantees and is exempt from any civil or contractual liability in the following circumstances:
Service Outages and Disruptions: Temporary or permanent interruptions to the website’s availability caused by faults in the hosting provider’s servers, faults in the telecommunications lines of network operators, scheduled technical maintenance of the system, critical updates to WordPress or Elementor, or events of force majeure beyond Buenisísimo’s control.
Computer Damage: Damage caused by malicious acts on the part of third parties who, by circumventing the website’s perimeter security measures, manage to introduce viruses or malware, or carry out distributed denial-of-service (DDoS) attacks that affect the browsers or end-user devices of Users accessing the portal.
Out-of-date blog information: The content and articles published on the «Descubrir Sitges» blog relating to immigration law, requirements for the NIE or regulations governing electricity contracts are written solely for illustrative, educational and advisory purposes for the general public. Buenisísimo accepts no liability for any losses arising from unforeseen legislative changes in the Official State Gazettes, changes to internal protocols at police stations, or tariff adjustments by electricity suppliers that render the blog’s information out of date before the administrators have a chance to update it.
8. APPLICABLE LAW, DISPUTE RESOLUTION AND COMPETENT COURTS
The validity, interpretation, enforcement, scope and any legal disputes arising from these Terms and Conditions shall be governed in all respects by the provisions of Spanish national law.
For the resolution of any dispute, legal conflict, consumer dispute, claim for breach of contract or disagreement regarding interpretation arising from the use of the Buenisísimo web platform or its directories, the signatory parties agree to submit, expressly and irrevocably waiving any other territorial or personal jurisdiction to which they might be entitled by law at present or in the future, to the exclusive jurisdiction and competence of the civil courts and tribunals of the city of Barcelona, Spain. In the event that the User acts strictly as an end consumer, jurisdiction shall be determined in accordance with the applicable procedural rules for consumer protection established in their place of habitual residence.
